Singapore Takeover Rules and Thresholds


In Singapore, public takeovers and mergers are governed primarily by the Singapore Code on Take-overs and Mergers (the Code), administered by the Securities Industry Council (SIC) under the Monetary Authority of Singapore (MAS), along with the Companies Act and the SGX Listing Manual.   


The Code applies to public companies (both listed on SGX and unlisted) and unlisted real estate investment trusts (REITs) or business trusts in Singapore.

1. Mandatory General Offers (Rule 14)


Under Rule 14 of the Code, an acquirer (acting alone or with Parties Acting in Concert (PACs)) triggers an MGO if they cross either of two operational thresholds:   


  1. 30% Trigger Threshold: Any acquisition that brings the aggregate voting holdings of the buyer and its PACs to 30% or more.   


  2. Creeping Trigger Threshold: If the aggregate holding is already between 30% and 50%, acquiring more than 1% of the voting rights in any rolling 6-month period.

  • Cash Requirement: Must offer a cash option (or fully cash-backed consideration).   


  • Floor Price (Highest Price Rule): The offer price cannot be lower than the highest price paid by the bidder or its PACs for target shares within the 6 months prior to the offer period.   


  • Minimal Conditions: An MGO can only be conditional on reaching >50% voting rights. Financing conditions or due diligence conditions are strictly prohibited.   


2. Concert Parties & Whitewash Waivers

The Code presumes that certain related entities act together toward a takeover unless rebutted, including:   


  • Parent companies, subsidiaries, and sister companies.   


  • Directors (and their close relatives) of the buyer or target.   


  • Pension funds, investment managers managing discretionary funds, and financial advisors.


Whitewash Waiver


When crossing a trigger threshold via a new share issuance (e.g., funding a transaction or corporate restructuring), the target's independent shareholders can vote to waive the bidder's obligation to make an MGO. This requires approval by a majority of independent shareholders present and voting, alongside SIC consent.   


3. Alternative Structures to Effect a Takeover


Beyond a contractual general offer, bidders commonly use statutory schemes:


Scheme of Arrangement (Section 210 of the Companies Act)

  • Approval Threshold: Requires approval from a majority in number representing at least 75% in value of the shareholders present and voting at the scheme meeting.   


  • Outcome: An "all-or-nothing" structure—if passed and sanctioned by the High Court of Singapore, 100% of the target's shares transfer to the bidder.


Voluntary Amalgamation

  • Allows two Singapore companies to combine into one entity, requiring a special resolution (75% approval) from shareholders of both merging entities.


4. Post-Offer Squeeze-Out & Privatization


  • Compulsory Acquisition (Section 215 Companies Act): If a general offer secures at least 90% acceptances (excluding shares already owned prior to the offer by the bidder or its nominees), the bidder can acquire the remaining 10% from dissenting minority shareholders on the same terms.


  • SGX Delisting Rule: To voluntarily delist an SGX-listed company without a general offer, the resolution must be approved by at least 75% of voting shares present, and the offer must be fair and reasonable according to an Independent Financial Adviser (IFA).
