Singapore Corporate Income Tax Guide

Singapore Corporate Income Tax (CIT) is assessed on a preceding year basis and capped at a competitive flat rate of 17%. Whether you are launching a startup or running an established enterprise, understanding your tax obligations with the Inland Revenue Authority of Singapore (IRAS) ensures full compliance while maximizing local tax savings.

General Corporate Income Tax Rules

  • Definition of a Company: A business entity incorporated under the Companies Act (or similar legal framework), legally distinct from its shareholders.

  • Basis Period: The financial year period (12 months) in which your company earns income.

  • Year of Assessment (YA): The year following the Basis Period, during which IRAS assesses and taxes the income earned in that Basis Period (e.g., income earned in financial year 2025 is assessed in YA 2026).

  • Tax Rate & Exemption Schemes: Standard rate is 17%. Eligible companies benefit from the Tax Exemption Scheme for New Start-Up Companies or the Partial Tax Exemption (PTE) scheme, significantly lowering effective tax rates.

Corporate Income Tax Filing Obligations

Every Singapore incorporated company must file two separate tax returns with IRAS each year:

Return Type

Purpose

Deadline / Threshold

1. Estimated Chargeable Income (ECI)

An estimate of the company’s taxable income after deducting allowable expenses.

Within 3 months from the end of the company's financial year. (Exempt if annual revenue is $5 million or less AND ECI is $0).

2. Form C-S / Form C-S (Lite) / Form C

The final declaration of actual income, financial accounts, and tax computations.

30 November annually via myTax Portal.

Form C Selection Guide:

  • Form C-S (Lite): For small companies with annual revenue of $200,000 or less meeting straightforward qualification criteria.

  • Form C-S: For qualifying small companies with annual revenue up to $5 million earning 17% tax-rated income.

  • Form C: For larger enterprises or companies that do not qualify for Form C-S/C-S (Lite).

Additional Tax Tips for New Companies

  • Determining Your First YA: Your first YA depends on your company's chosen financial year-end (FYE) and the date operations commenced.

  • Pre-commencement Expenses: Necessary business expenses incurred before official trade commencement can often be claimed in your first YA under specific IRAS rules.

  • Attribution of Profit & Loss: Keep accurate trade logs to ensure income and allowable expenses are correctly mapped to the right YA.

  • Record Keeping: Retain all primary documents, receipts, bank statements, and accounting records for at least 5 years.

Managing Taxes via Digital Services

All corporate tax transactions are fully digitized through IRAS online systems.

  • Corppass Setup: Appoint Corppass Admins to authorize company officers or tax agents to access company tax records securely.

  • myTax Portal: Log in at mytax.iras.gov.sg 24/7 to file ECI, submit Form C-S/C, check tax statements, or review notices of assessment (NOA).

Walking through how to prepare and submit Estimated Chargeable Income (ECI) on myTax Portal Step by Step

Filing your Estimated Chargeable Income (ECI) with IRAS is done online via the myTax Portal. Every step must be executed in order to complete the submission successfully.

1 Prepare Financial Data Before Logging In

Calculate two key numbers from your company’s financial accounts for the financial year ending:

  • Gross Revenue: Total main operational income before deducting cost of goods sold or expenses.

  • Estimated Chargeable Income (ECI): Taxable income after adding back non-deductible expenses and deducting allowable tax adjustments/capital allowances.

2Log In to myTax Portal via Corppass

Ensure your Singpass/Corppass account has the 'Corporate Tax (Filing)' role assigned

Go to mytax.iras.gov.sg, select Company / Business Tax, and log in using your Singpass credentials via Corppass.

3 Navigate to the ECI Digital Service

From the main dashboard header, go to Corporate Tax > File ECI / Form C-S / Form C > File ECI. Select the relevant Year of Assessment (YA).

4 Enter Revenue and ECI Values

Fill in the mandatory financial fields on the screen:

  • Enter your company's total Gross Revenue.

  • Ente r your Estimated Chargeable Income. If the company made a loss or has zero chargeable income, input 0.

5Review, Declare, and Submit

Review the summary screen to ensure the figures match your calculations. Check the declaration box confirming the information is accurate, then click Submit.

6 Save the Acknowledgement Slip

Download or print the confirmation receipt showing the Transaction Reference Number for your corporate audit and tax compliance records.

Exact Criteria to Qualify for an Exemption from filing ECI in Singapore

In Singapore, a company qualifies for an exemption from filing Estimated Chargeable Income (ECI) for a Year of Assessment (YA) if it meets both cumulative conditions under the standard IRAS waiver criteria, or falls into a specific entity exclusion

1. The Revenue & ECI Waiver Criteria (Dual-Test)

Your company is automatically exempt from filing ECI if both of the following conditions are satisfied:

Criterion

Requirement

Key Details

1. Annual Revenue

S$5 million or less

Applies to total main operational revenue for the financial year.

2. Estimated Chargeable Income

NIL (S$0)

Must be $0 before applying Start-Up or Partial Tax Exemptions.

Important: This is an "AND" rule, not an "OR" rule. Meeting only one condition requires you to file ECI.

Scenarios:

  • Revenue S3 million & ECI S0: EXEMPT (Both criteria met).

  • Revenue S3 million & ECI S50,000: MUST FILE (ECI is not NIL).

  • Revenue S8 million & ECI S0 (e.g., net loss): MUST FILE (Revenue exceeds S$5M).

2. Specific Entities Excluded from Filing ECI

Regardless of revenue or income, the following entities are not required to submit ECI:

  • Foreign ship owners or charterers who have submitted (or will submit) a valid Shipping Return through their local agent.

  • Foreign universities.

  • Designated unit trusts and approved CPF unit trusts.

  • Real Estate Investment Trusts (REITs) granted special tax treatment under Section 43(2) of the Income Tax Act.

  • Entities explicitly granted a written waiver by IRAS.

Key Reminders

  • Self-Assessment: You do not need to apply or submit a waiver application if you meet the dual criteria. Simply refrain from filing ECI.

  • "Ready to File" Status: If myTax Portal displays a "Ready to File" status for ECI but your company meets the waiver conditions, you can safely ignore the status.

Difference between Estimated Chargeable Income (ECI) and Form C-S/C in Singapore

While both Estimated Chargeable Income (ECI) and Form C-S / Form C are statutory corporate income tax filings required by the Inland Revenue Authority of Singapore (IRAS), they serve distinct purposes in the tax compliance lifecycle.

Key Differences at a Glance

Feature

Estimated Chargeable Income (ECI)

Form C-S / Form C-S (Lite) / Form C

Purpose

An advance estimate of the company's taxable income for the Year of Assessment (YA).

The final declaration of actual tax adjustments, financial accounts, and tax computation.

Filing Deadline

Within 3 months from the end of the financial year.

30 November following the end of the financial year.

Data Required

Estimated Gross Revenue and Estimated Chargeable Income figure only.

Comprehensive financial figures, detailed tax adjustments, capital allowances, and functional currency data.

Supporting Documents

None required at the time of submission.

Financial statements and tax computations must be prepared (and submitted alongside Form C).

Payment Structure

Allows payment via up to 10 GIRO monthly installments (earlier filing yields more installments).

Tax assessed based on final submission; must be paid within 1 month from the Notice of Assessment (NOA) date.

Waiver Criteria

Exempt if annual revenue is ≤ S$5 million AND ECI is NIL ($0).

Mandatory for all active companies; no revenue waiver.

How They Work Together

  1. Advance Assessment (ECI): IRAS uses your early ECI estimate to issue an initial Notice of Assessment (NOA), allowing companies to pay their projected tax in interest-free monthly GIRO installments rather than a single lump sum.

  2. Final Settlement (Form C-S / Form C): Once your audited or finalized financial accounts are completed later in the year, you file Form C-S or Form C.

  3. Reconciliation: IRAS reconciles your final tax liability against your ECI payment:

    • Under-estimation: If actual tax owed is higher than estimated, you pay the remaining balance.

    • Over-estimation: If actual tax owed is lower than estimated, IRAS refunds the excess tax paid.

To file either Form C-S or Form C-S (Lite), your company must satisfy all of the following core IRAS rules:

  1. Local Incorporation: The company must be incorporated in Singapore. (Foreign companies or Singapore branches of foreign entities must file Form C).

  2. Standard Tax Rate: It derives income that is subject to tax only at the prevailing corporate tax rate of 17%.

  3. No Complex Tax Claims: The company does not claim any of the following items in the relevant Year of Assessment (YA):

    • Carry-back of current year capital allowances or losses

    • Group relief

    • Investment allowance

    • Foreign tax credit and tax deducted at source

  4. Revenue Ceiling:

    • For Form C-S: Revenue must be S$5 million or less.

    • For Form C-S (Lite): Revenue must be S$200,000 or less and meet all Form C-S conditions above.

When Must You File Form C?

Your company must file the full Form C if it encounters any of these conditions:

  • Annual revenue exceeds S$5 million.

  • It claims group relief, investment allowances, or foreign tax credits.

  • It earns income that is subject to concessionary tax rates or tax incentives.

  • It is a foreign company or Singapore branch.

Note on Attachments: Filers using Form C-S and Form C-S (Lite) do not need to attach financial statements or tax computations during online submission. However, these documents must still be prepared and retained for 5 years, as IRAS may request them for audit verification.
