Dear Sir/Madam,

1. Purpose & Scope of Engagement

We are pleased to submit this engagement letter to confirm the terms and objectives under which Bestar Consulting Pte. Ltd. ("Bestar") will provide corporate advisory and executive search assistance to your company (the "Client") in Singapore.

Our professional services will focus on two primary objectives:

1. Executive Recruitment: Sourcing, vetting, and assisting in the recruitment of a qualified individual to fill the critical role of Key Executive (KE).

   
   

2. Licensing Advisory: Preparing and submitting a Travel Agent Licence Application to the Singapore Tourism Board (STB) via the Travel Agents and Tourist Guides Licensing System (TRUST) portal.

2. Detailed Scope of Services

Bestar will execute the assignment according to the dual phases detailed below:

Phase A: Key Executive (KE) Executive Search & Sourcing

The Singapore Tourism Board mandates strict compliance requirements for a nominated Key Executive. Bestar will manage the recruitment process to secure a compliant candidate:

• Candidate Profiling: Defining criteria to meet STB requirements (preferably a Singapore Citizen, Permanent Resident, or valid Employment Pass holder with verifiable managerial or operational experience in the travel sector).

• Sourcing & Screening: Advertising, identifying, and conducting initial interviews to vet candidates for character, background suitability, and industry familiarity.

  
  

• Shortlisting & Presentation: Presenting qualified candidate profiles, resumes, and references to the Client for final selection and interview.

  
  

• Employment Formalities: Assisting with the drafting of the Letter of Appointment and ensuring the necessary corporate documentation (such as a Director’s Resolution) is structured properly for the licensing submission.

Phase B: STB Travel Agent Licence Application

Once a suitable Key Executive is appointed and corporate prerequisites are settled, Bestar will handle the regulatory submission process:

• Documentation Review: Reviewing and compiling corporate profiles (ACRA BizFile), proof of paid-up capital injection, bank statements, lease agreements/stamp duties, and business plans.

  
  

• TRUST Portal Submission: Preparing and filing the online application via the TRUST portal.

  
  

• Regulatory Liaison: Managing queries, clarifications, or requests for additional documentation raised by STB inspectors during the evaluation process.

3. Client’s Responsibilities and Statutory Prerequisites

To ensure a successful regulatory application, the Client acknowledges and agrees to maintain the following statutory baseline criteria required by the STB:

Critical Compliance Thresholds:

• Financial Adequacy: A minimum paid-up capital and net worth of S$100,000 for a General Licence (or S$50,000 for a Niche Licence) must be fully injected into the corporate bank account and clearly reflected on the ACRA BizFile.  

• Commercial Space: A valid operating address with a commercial lease or approved home office layout (HDB/URA), complete with appropriate business signage.

  
  

• Executive Accountability: The Key Executive must have clean credit/legal standing and cannot act concurrently as a KE for another licensed travel agency.  

  
  

The Client is responsible for the accuracy and authenticity of all financial documentation, background information, and corporate profiles provided to Bestar.

4. Professional Fees & Payment Terms

Our professional fees for this dual-scope engagement are structured as follows:

Note: The fees listed above exclude third-party disbursements, such as the non-refundable STB Application Fee (S$200), the STB Licence Fee upon approval (S$400), ACRA business profile extraction fees, and prevailing Goods and Services Tax (GST), if applicable.

5. Limitation of Liability and Non-Guarantee of Success

While Bestar will leverage its full professional expertise, industry networks, and due diligence to source compliant personnel and build a robust application, the Client explicitly acknowledges and agrees to the following:

• Recruitment Outcome: Bestar does not guarantee the successful placement or long-term retention of a Key Executive candidate, as final hiring decisions, employment terms, and candidate choices rest entirely with the Client.

  
  

• Regulatory Approval: Bestar provides advisory and administrative processing support based on current Singapore Tourism Board (STB) guidelines. Bestar does not guarantee the successful outcome or approval of the Travel Agent Licence application, as the final authority to grant, reject, or condition the licence rests solely with the STB.

  
  

• No Refund of Fees: Professional fees paid to Bestar are for services rendered and time expended; fees are non-refundable in the event of a candidate declining an offer or the STB rejecting the licence application due to factors outside of Bestar's control.

6. Term and Termination

This agreement shall commence on the date of execution by both parties and will remain in effect until the application is determined by STB, or unless terminated earlier by either party giving seven (7) days' written notice.

7. Confirmation of Terms

If the terms outlined in this engagement letter meet your approval, please sign, stamp, and return the duplicate copy of this letter to our office to signify your formal authorization.
