Key Requirements for Singapore Pte Ltd Incorporation:
Company Name Approval:
The proposed company name must be unique and approved by the Accounting and Corporate Regulatory Authority (ACRA).
It should not be offensive, obscene, or too similar to existing names.
Certain words (e.g., "bank," "university") may require additional approval from relevant authorities.
Directors:
Minimum of one (1) Resident Director: This director must be an ordinarily resident in Singapore (Singapore Citizen, Singapore Permanent Resident, or person holding an EntrePass/Employment Pass).
Directors must be at least 18 years old and not disqualified from acting as a director (e.g., undischarged bankrupts, persons convicted of certain offenses).
There is no maximum number of directors.
Shareholders:
Minimum of one (1) Shareholder: This can be an individual or a corporate entity. The shareholder can also be the same person as the director.
For a private limited company, the maximum number of shareholders is 50.
100% foreign shareholding is permitted.
Company Secretary:
Mandatory Appointment: Every company must appoint a qualified company secretary within six (6) months of its incorporation.
The company secretary must be a natural person ordinarily resident in Singapore. The sole director and sole shareholder cannot simultaneously be the company secretary.
Registered Office Address:
A local physical address in Singapore is required as the registered office. This address cannot be a P.O. Box.
This is where all official communications and notices to the company will be sent.
Minimum Paid-up Capital:
The minimum paid-up capital required is S$1.00. This can be increased at any time after incorporation.
Company Constitution (Memorandum & Articles of Association):
A constitution (formerly known as Memorandum and Articles of Association) must be adopted, outlining the company's objectives, share capital, internal rules, and how it will be governed.

Annual Corporate Secretary Service (after the first year): S$350 per year (included in the incorporation package for the first year) including preparation of AGM documents, lodging Annual Returns, monitoring compliance.
Registered Office Address: S$180 per year.
Nominee Director Service: S$2,500 per year, plus a refundable security deposit of S$2,500. This is a crucial service for foreign clients who don't have a local resident director.
Employment Pass (EP) Application Assistance:
Bestar's professional service fees for handling the EP application process S$1,300 (including MOM (Ministry of Manpower) government fees). We are licensed experts and can significantly increase your chances of success. We assist with eligibility assessment, document preparation, online submission, and liaison with MOM.
How to Get Started with Our Services
Here are the steps:
Consultation & Proposal:
Receive a proposal/quote: We will discuss your business needs to tailor our services and provide a comprehensive proposal, including a detailed quotation for our fees and government charges.
Payment:
Once you agree to the proposal, you'll make the initial payment for the agreed-upon services.
Provide Required Information & Documents:
Complete forms: We will send you forms like a "Company Incorporation Form", "KYC (Know Your Client) Form", and a "PDPA Consent Form" to gather necessary details about your proposed company, directors, and shareholders.
Submit identification: You'll need to provide scanned copies of passports/NRICs and proof of residential address for all directors and shareholders. For foreign documents, these may need to be notarized.
Incorporation Process:
Bestar will then proceed with the company name reservation and submission of the incorporation application to ACRA.
We will keep you updated on the progress. Typically, incorporation can be completed within 1 to 3 business days once all documents are in order and submitted to ACRA.
Post-Incorporation:
Upon successful incorporation, you'll receive the Certificate of Incorporation and Business Profile.
Bestar will then assist with opening a bank account and setting up any ongoing services (corporate secretarial, accounting, etc.) you've engaged us for.
